General information

This website is operated by Treem Capital LLC (“Treem Capital,” “we,” “us” or “our”). The information presented on this website is provided solely for general informational and educational purposes.

Nothing on this website constitutes:

  • An offer to sell or a solicitation of an offer to buy any security;
  • Investment, legal, tax, accounting or financial advice;
  • A recommendation or endorsement of any investment, security, strategy, property or service provider; or
  • A representation that any investment is suitable for a particular person.

Treem Capital’s proposed investment strategies, structures and services remain subject to change.

No offering through this website

No securities are currently offered for purchase through this public website.

Any future offering will be made only through definitive offering documents, which may include a private placement memorandum, offering memorandum, subscription agreement, operating agreement, note purchase agreement and related risk disclosures.

The definitive offering documents will govern the applicable investment in all respects and will supersede any inconsistent information appearing on this website, in presentations, marketing materials or in discussions with Treem Capital representatives.

Submitting a request for information does not:

  • Constitute an investment commitment;
  • Confirm an investor’s eligibility;
  • Reserve an allocation;
  • Create an advisory, fiduciary or client relationship; or
  • Obligate Treem Capital to provide offering materials or accept an investment.

Investor eligibility

Future investment opportunities may be offered only to investors who satisfy applicable legal, financial, accreditation, residency and suitability requirements.

Certain offerings may be conducted under exemptions from registration provided by the U.S. Securities Act of 1933, including Regulation D, or under other applicable U.S. or non-U.S. laws.

If an offering is conducted under Rule 506(c) of Regulation D, all purchasers must be accredited investors, and the issuer must take reasonable steps to verify their accredited-investor status. Self-certification alone may not be sufficient.

Treem Capital may decline any prospective investor for legal, regulatory, compliance, operational or other reasons.

Regulatory status

Treem Capital is a real-estate investment and asset-management business in development.

Unless expressly stated in definitive offering documents or supported by applicable public regulatory records, neither Treem Capital nor Treem Finance LLC should be understood to be acting as a registered investment adviser, broker-dealer, transfer agent, alternative trading system, securities exchange, bank or qualified custodian.

Activities requiring regulatory registration or licensing are expected to be performed by appropriately qualified third-party service providers where required.

No governmental authority, including the U.S. Securities and Exchange Commission, has approved or endorsed Treem Capital, this website, any proposed investment strategy or any future offering. Filing a notice or relying on an exemption from securities registration does not constitute governmental approval.

Investment risks

Private real-estate and private-credit investments are speculative, illiquid and involve substantial risks. Prospective investors must be able to bear the loss of their entire investment.

Risks may include:

  • Loss of some or all invested capital;
  • Lack of liquidity and the absence of a public market;
  • Restrictions on sale, assignment or transfer;
  • Real-estate market and valuation risk;
  • Tenant, occupancy and lease-renewal risk;
  • Borrower and counterparty default;
  • Interest-rate and refinancing risk;
  • Use of leverage and risk of foreclosure;
  • Construction, renovation and cost-overrun risk;
  • Environmental, zoning, title and regulatory risk;
  • Property damage and inadequate insurance coverage;
  • Economic, political and geographic concentration risk;
  • Reliance on management and key personnel;
  • Conflicts of interest among affiliated entities;
  • Technology, cybersecurity and service-provider risk;
  • Tax consequences; and
  • Changes in securities, real-estate, banking or digital-asset regulation.

A complete description of material risks will be included in the definitive offering documents for each applicable investment.

Targets, projections and forward-looking statements

This website may contain statements regarding proposed strategies, investment objectives, anticipated transactions, market opportunities, business plans or future operations. These statements are forward-looking and are based on assumptions, estimates and expectations that may prove incorrect.

Terms such as “target,” “objective,” “expected,” “anticipated,” “proposed,” “may,” “intend,” “plan,” “potential” and similar expressions identify statements that are uncertain and should not be interpreted as promises or guarantees.

Target returns, yields, holding periods, distribution schedules, property values, financing terms and exit expectations are not guaranteed. Actual results may differ materially, and distributions may be delayed, reduced or not made.

Past performance, where presented in duly authorized materials, is not indicative of future results.

Pipeline and illustrative opportunities

Properties, transactions, investment profiles or market examples described on this website may be illustrative, preliminary or under evaluation.

Unless expressly stated in definitive offering documents:

  • Treem Capital has not necessarily acquired or entered into a binding agreement to acquire a referenced property;
  • A pipeline transaction may not close;
  • Terms may change without notice; and
  • No investment allocation is available.

Illustrative property profiles must not be interpreted as current portfolio holdings or available securities offerings.

Fees, expenses and conflicts

Future investment vehicles may pay management, acquisition, origination, administration, financing, property-management, technology, disposition, performance or other fees and expenses to Treem Capital, Treem Finance LLC, their affiliates or third parties.

Such arrangements may create actual or potential conflicts of interest. The applicable fees, expenses, affiliate relationships and conflicts will be disclosed in the definitive offering documents.

Technology and tokenization

Treem Finance LLC develops technology intended to support real-world-asset underwriting, investor onboarding, investment administration, ownership records, reporting and integrations with third-party service providers.

Where blockchain-based records or digital tokens are used:

  • The applicable legal documents—not the token alone—determine investor rights;
  • A token does not necessarily represent direct title to real property;
  • Tokenization does not eliminate securities-law restrictions;
  • Tokenization does not guarantee liquidity, price appreciation or a secondary market;
  • Transfers may require approval, identity verification and regulatory review; and
  • Property title will ordinarily be held by a property-owning entity.

Blockchain records, smart contracts and digital interfaces remain subject to technological, operational, cybersecurity and regulatory risks.

Third-party information

Information obtained from government publications, market reports, brokers, property owners, consultants and other third parties is believed to be reliable, but Treem Capital does not guarantee its accuracy, completeness or timeliness.

References or links to third-party websites and service providers do not constitute an endorsement, partnership or representation that Treem Capital controls those parties.

Third-party logos should not be interpreted as evidence of a commercial relationship unless the relationship is expressly identified and authorized.

No fiduciary relationship

Accessing this website, requesting information or communicating with Treem Capital does not create an investment-advisory, fiduciary, brokerage, agency, partnership or other professional relationship.

Prospective investors should consult their own legal, tax, accounting and investment advisers before making any investment decision.
