Treem Capital is currently preparing its first private real-estate investment program. The final legal structure, investment terms and launch date remain subject to completion of the applicable offering documents, service-provider arrangements and compliance procedures.Prospective investors may request information and register their interest. Registration does not:Constitute an investment commitment;Confirm investor eligibility;Reserve an allocation;Create an advisory or fiduciary relationship; orGuarantee access to a future offering.When an offering becomes available, eligible prospective investors will receive access to the applicable property information, financial assumptions, risk factors and definitive offering documents.

Treem Capital may also work with eligible institutional investors, RIAs, wealth managers and strategic investment partners.Prospective investors may be required to complete:Identity verification;Know-your-customer and anti-money-laundering checks;Accreditation verification;Jurisdictional eligibility screening;Review of offering documents; andElectronic subscription documentation.International participation, where available, will be subject to the laws of the investor's jurisdiction and the terms of the applicable offering.Submitting the public Request Information form is not an accreditation-verification or investor-onboarding process.

The minimum investment, term, interest rate or preferred return, distribution policy, fees and other economics will be determined for each offering and disclosed in its definitive offering documents.Treem Capital will not publish or promise returns before the relevant property, capital structure, financing terms and risk factors have been sufficiently underwritten.Depending on the opportunity, investor returns may be generated from:Interest paid on property-backed debt;Property-level operating cash flow;Preferred or contractual payments;Refinancing proceeds;Property appreciation; andProceeds from a sale or other exit.Any return, yield, distribution or holding period presented in future offering materials will be a target or objective—not a guarantee. Investors must be prepared for delayed or reduced distributions and the possible loss of their entire investment.

How will investments be structured and protected?

The structure may vary by transaction. Treem Capital generally intends to separate individual properties and their related liabilities through dedicated property-owning or borrowing entities.A typical structure may include:Treem Capital as manager or transaction sponsor;A dedicated offering or investment vehicle;A separate property-level LLC that owns or finances the property;Senior or other property-level financing where appropriate; andInvestor interests governed by definitive legal agreements.Depending on the investment, protection may include property collateral, contractual payment priority, conservative leverage, operating reserves, insurance, financial covenants and defined default remedies. Not every protection will apply to every transaction.No investment structure can eliminate risk. Investors should review the complete capital structure, collateral, payment priority, conflicts of interest and risk factors provided for the applicable offering.

Will Treem investments be tokenized, and will investors have liquidity?

Tokenization may be used for selected offerings when it provides a practical administrative, ownership-record or transfer benefit. It will not be required for every Treem Capital investment.Where a digital token is used, it will represent the contractual investment rights defined in the applicable legal documents. A token does not independently create direct ownership of a building unless the legal structure and offering documents expressly provide otherwise.Tokenization does not:Guarantee liquidity;Guarantee price appreciation;Create an automatic secondary market;Remove securities-law restrictions;Eliminate required investor verification; orAllow unrestricted transfers.Private real-estate investments should generally be considered illiquid. A future transfer may be possible only when permitted by the offering documents, applicable securities laws and available regulated infrastructure.The definitive offering documents—not the digital token or website description—will control the investor's legal and economic rights.
